Agreement to Terms

By accessing belaclip.com or purchasing our services, you ("Client", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

Services Provided

BelaClip provides subscription-based services including:

• Generation of AI avatar(s) from your provided content (image, video, audio).
• Production of short-form videos (Reels, Shorts, TikTok, etc.), delivered on a monthly package basis (e.g., 30 videos/month).
• Strategic support such as trend analysis, content adaptation, and script generation.

We may update features or processes from time to time.

Client Responsibilities

You agree to:

• Provide accurate information and timely materials (e.g., video/photo for avatar, brand assets).
• Secure necessary rights to use any content you provide (e.g., likeness rights, trademarks).
• Not upload unlawful, defamatory, obscene, or infringing material.
• Publish and distribute videos at your discretion (BelaClip does not publish on your behalf unless otherwise agreed).

Payments and Billing

• Subscriptions begin at $2,990/month unless otherwise agreed in writing.
• Payments are processed via third-party providers (Stripe, Square, QuickBooks). BelaClip does not store full card details.
• All fees are due in advance unless otherwise agreed.
• Late payments may result in suspension of services.

Refund Policy

Refunds are governed by our Refund Policy, available at https://belaclip.com/refund-policy. By subscribing, you acknowledge and accept that refunds are limited to those terms.

Intellectual Property & Licenses

Confidentiality

Both parties agree to keep confidential any non-public business information received from the other, except where disclosure is required by law.

Disclaimers

• Services are provided "as is" and "as available".
• BelaClip does not guarantee specific marketing results (e.g., number of views, leads, or conversions).
• We are not responsible for third-party platform actions (TikTok, Instagram, YouTube) including algorithm changes, bans, or content removals.

Limitation of Liability

To the fullest extent permitted by law:

• BelaClip's liability is limited to the amount you paid in the last 3 months of service.
• We are not liable for indirect, incidental, special, or consequential damages (including lost profits, reputational harm, or missed opportunities).

Indemnification

You agree to indemnify and hold BelaClip harmless from any claims, damages, or liabilities arising out of:

• Your provided content (including likeness rights, copyright, or trademark issues).
• Your misuse of the service.
• Your violation of these Terms.

Termination

• You may cancel anytime. Services remain active until the end of the billing cycle.
• BelaClip may suspend or terminate accounts that violate these Terms or applicable law.
• Termination does not relieve you of outstanding payment obligations.

Governing Law & Disputes

• These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
• Any dispute will be resolved in state or federal courts located in Wyoming.
• Both parties waive the right to a jury trial.

Changes to Terms

We may update these Terms at any time. The updated Terms will be posted with a new effective date. Your continued use of the service constitutes acceptance.
